These Terms of Use and Sale (these “Terms”) govern your access to and use of the website located at shop.circajewels.com, including all related pages, features, content, tools, applications, and services made available through the website (collectively, the “Site”), and any purchases, registrations, submissions of bids, or other transactions conducted through the Site.

The Site is owned and operated by CIRCA JEWELS LLC (“Company,” “we,” “us,” or “our”).

By accessing or using the Site, creating an account, submitting payment information, purchasing any product, or placing a bid through the auctions section of the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

1.     Eligibility

You may use the Site only if you are at least eighteen (18) years old and are legally capable of entering into a binding contract under applicable law. By using the Site, you represent and warrant that you satisfy these requirements.

2.     Changes to the Site and Terms

We may update, modify, suspend, discontinue, or remove any portion of the Site, any products, any auctions, any functionality, or these Terms at any time, in our sole discretion. Updated Terms will become effective upon posting to the Site, unless otherwise stated. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the revised Terms.

3.     Account Registration

      3.1.       Account Requirement

Certain features of the Site, including the ability to place a bid through the auctions section, require you to register for an account.

      3.2.       Registration Information

You agree to provide true, accurate, current, and complete information during registration and at all other times you use the Site. You must promptly update your information if it changes.

      3.3.       Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

      3.4.       Account Approval and Restrictions

We reserve the right, in our sole discretion, to refuse registration, restrict access, suspend accounts, or terminate accounts at any time and for any lawful reason.

4.     Payment Information and Authorization

      4.1.       Payment Details

To purchase products or place a bid where required, you may be asked to provide billing, shipping, and payment information, including valid credit card details.

      4.2.       Authorization

By submitting payment information through the Site, you represent and warrant that:
 (a) you are authorized to use the payment method provided;
 (b) all payment information submitted is accurate and complete; and
 (c) you authorize us, and any third-party payment processor acting on our behalf, to verify the payment method and charge it as permitted under these Terms and any applicable transaction terms.

      4.3.       Verification

We may conduct identity, fraud-prevention, anti-money laundering, card authorization, and related verification checks before accepting an order, processing a transaction, or reviewing a bid. We may decline any transaction, order, or bid submission if verification cannot be completed to our satisfaction.

      4.4.       Stored Payment Details

If the Site allows payment credentials to be stored for future use, you acknowledge that such storage may be handled by our third-party payment processors in accordance with applicable law and our Privacy Policy.

5.     Products and Descriptions

We attempt to display products, auction items, descriptions, images, pricing, colors, sizes, specifications, gemstone details, and other information as accurately as possible. However:
 (a) images may appear differently depending on your device or display settings;
 (b) colors, dimensions, and visual appearance may vary;
 (c) product descriptions may contain minor errors, omissions, or inaccuracies; and
 (d) statements regarding provenance, materials, gemstone attributes, vintage or estate origin, or similar features are provided to the best of our knowledge unless expressly guaranteed in writing.

All products and auction items are subject to availability.

6.     Pricing

      6.1.       General

All prices are listed in USD unless otherwise stated.

      6.2.       Errors

Despite our efforts, the Site may occasionally contain pricing, typographical, or system errors. We reserve the right to correct any errors, inaccuracies, or omissions at any time, including after an order is submitted or an item is listed in an auction.

      6.3.       Non-Binding Listings

The display of a product or item on the Site, including the display of a price or starting price, is an invitation to purchase and does not create a binding obligation on our part.

      6.4.       Taxes, Duties, and Fees

Prices may exclude taxes, shipping charges, insurance fees, customs duties, import fees, or other governmental charges, unless expressly stated otherwise. You are responsible for all such charges applicable to your transaction.

7.     Orders in the Circa Vault

      7.1.       Placement of Orders

When you place an order through the Circa Vault, you are submitting an order request to purchase the selected product(s), subject to these Terms.

      7.2.       Acceptance

Your receipt of an order confirmation does not necessarily mean that we have accepted your order. We may accept, reject, cancel, or limit any order in our discretion, including due to unavailability, pricing errors, suspected fraud, compliance concerns, or shipping restrictions.

      7.3.       Availability

Products may become unavailable after being added to a cart or even after an order is submitted. If a product becomes unavailable, we may cancel the order and refund any amount charged for the unavailable product.

      7.4.       Quantity Limits

We may impose limits on quantities purchased per person, household, account, payment method, or order.

8.     Auctions and Bid Process

      8.1.       Auctions

The Site may display curated auctions of items. For each item, we may provide information such as descriptions, photographs, specifications, condition details, and a starting price.

      8.2.       Auction Window

Each item made available for bid submission will have a stated or designated submission window (the “Bid Period”). We may, in our discretion, modify or adjust the Auction Window Period from time to time. Bids may only be submitted during the applicable Auction Window. Once the Auction Window closes, no further bids may be submitted for that item.

      8.3.       One Active Bid Per User

Each registered user may submit only one active bid per item, at a time. The user may change, replace or withdraw their bid during the Auction Window. Once the Auction Window ends,any active bid cannot be changed or withdrawn, unless we expressly permit otherwise in writing or through Site functionality.

      8.4.       Registration and Card Details Required

In order to place a bid, you must:
(a) create an account;
(b) provide all requested registration information, including ZIP code of the intended shipping address; and
(c) provide valid payment credentials, including credit card details.

      8.5.       Bid Submission

By submitting an bid, you represent and warrant that:
(a) all information provided is accurate and complete;
(b) you are authorized and financially able to complete the transaction if your bid is accepted;
(c) your bid constitutes a binding and irrevocable commitment to purchase the item at the bid price, and you may not withdraw, cancel, or otherwise revoke your bid once Auction Window ends;
(d) your bid is genuine, bona fide, and submitted for legitimate purchase purposes only; and
(e) your bid complies with these Terms and all applicable laws.

      8.6.       No Guarantee of Acceptance

Placing a bid does not guarantee acceptance. We have sole and absolute discretion to determine whether to accept any bid, reject any bid, accept no bid at all, or remove any item from a auction at any time.

      8.7.       Notice of Acceptance

After the Auction Window closes, we will review submitted bids. If your bid is accepted, we will notify you by email within forty-eight (48) hours following the close of the applicable Auction Window.

      8.8.       Effect of Acceptance

If your bid is accepted, the acceptance email will constitute notice that your bid has been accepted and that a binding transaction has been formed. You are obligated to complete the purchase of the item at your bid price, subject to successful payment processing, verification, compliance checks, and any additional transaction terms communicated to you.

      8.9.       Payment Processing Following Acceptance

By submitting an bid, you authorize us to charge your payment method.
If your bid is accepted, your payment method will be charged, subject to any required verification or compliance checks. You will receive an acceptance email promptly following the successful charge.

Failure of payment, refusal of charge, or any attempt to reverse or dispute the charge may result in cancellation of the transaction, suspension of your account, and additional actions as permitted by law.

    8.10.       Reservation of Rights

We reserve the right to reject any bid or cancel any transaction relating to a auction item for any lawful reason, including suspected fraud, pricing errors, identity concerns, regulatory compliance, inventory issues, or errors in item description.

9.     Shipping, Delivery, and Risk

      9.1.       Shipping Terms

We may impose shipping restrictions based on destination, item category, value, carrier limitations, regulatory requirements, or risk considerations.

      9.2.       Delivery Address

We may require delivery to a physical residential or business address and may refuse shipment to P.O. boxes, freight forwarders, or other addresses we consider unsuitable.

      9.3.       Signature Requirement

For security reasons, we may require an adult signature on delivery, especially for higher-value items.

      9.4.       Insurance and Delivery

We may insure shipments in our discretion. Delivery dates are estimates only and are not guaranteed.

      9.5.       Risk of Loss / Title

Risk of loss and title shall pass at the time stated in the applicable sales confirmation, shipping confirmation, or mandatory law, except where otherwise required by law.

10.     Returns, Cancellations, and Refunds

    10.1.       General

All returns, cancellations, exchanges, and refunds are subject to our posted policies, which may vary by product type, auction item, country, or transaction type.

    10.2.       Store Purchases

Store purchases may be eligible for return only if expressly permitted by our return policy and only if returned within the applicable return window, in original and unaltered condition, with all packaging, certificates, documentation, and accompanying materials.

    10.3.       Auction Items / Accepted Bids

Unless expressly stated otherwise in a specific policy or written confirmation, items purchased following acceptance of a bid in the auctions section may be final sale and non-cancellable.

    10.4.       Condition of Returned Items

Any returned item must be in the same condition in which it was delivered, without damage, wear, resizing, alteration, or modification. We may deny a refund or apply deductions to reflect missing materials, damage, or diminished value, to the extent permitted by law.

    10.5.       Diamond Certificates

When you order a loose diamond, the Company will ship it to you with the accompanying diamond grading report (also called a diamond certificate). These grading reports are detailed documents created by diamond grading experts at highly respected diamond laboratories.

These diamond grading reports are extremely expensive to replace and, as a result, the Company requires each diamond grading report to be included with each returned diamond. If you do not include the diamond grading report with your return, you will be charged a replacement fee of US$150 (or equivalent amount in other currencies).

    10.6.       Shipping and Ancillary Charges

Shipping fees, insurance fees, customs duties, taxes, and similar charges may be non-refundable except where required by law.

11.     Fraud Prevention and Chargebacks

We reserve the right to refuse, cancel, hold, investigate, or reverse any transaction where we suspect fraud, unauthorized use, illegal activity, abuse of Site policies, or other improper conduct.

If you initiate a chargeback or payment dispute in bad faith, or in circumstances where you have received the product or otherwise breached these Terms, we reserve all rights and remedies available to us, including recovery of losses, chargeback fees, administrative expenses, auction costs, and legal fees where permitted by law.

12.     Prohibited Conduct

You agree not to:
 (a) use the Site for any unlawful or fraudulent purpose;
 (b) submit false, misleading, or incomplete information;
 (c) impersonate any person or entity;
 (d) interfere with the Site’s operation or security;
 (e) use robots, spiders, scrapers, or other automated means to access the Site without our prior written consent;
 (f) attempt to bypass authentication or access controls;
 (g) copy, reproduce, distribute, modify, or exploit Site content except as expressly permitted;
 (h) submit sham bids, manipulative bids, or bids intended to disrupt the auctions process; or
 (i) engage in conduct that may harm us, our users, our vendors, or our reputation.

13.     Intellectual Property

The Site and all content on it, including text, graphics, logos, icons, images, video, software, designs, compilations, page layout, and overall look and feel, are owned by us, our affiliates, licensors, or content providers and are protected by intellectual property laws.

Except for the limited right to use the Site for personal, non-commercial shopping and browsing purposes in accordance with these Terms, no right, title, or interest in the Site or its content is transferred to you.

You may not copy, reproduce, publish, transmit, distribute, display, create derivative works from, sell, license, or otherwise exploit any portion of the Site without our prior written consent.

14.     User Submissions and Feedback

If you submit reviews, feedback, suggestions, ideas, comments, messages, images, or other content to us or through the Site, you grant us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, transferable, sublicensable right to use, reproduce, modify, publish, translate, distribute, display, and otherwise exploit such content for any lawful purpose, subject to applicable law and our Privacy Policy.

You represent and warrant that you own or control all rights in any content you submit and that such content does not violate any law or third-party rights.

We may, but are not obligated to, monitor, edit, remove, or refuse user-submitted content.

The Site may contain links to third-party websites, tools, content, payment processors, logistics providers, authentication vendors, analytics providers, or other services. We do not control and are not responsible for third-party services, content, policies, or practices. Your use of third-party services may be subject to separate terms and policies.

Your use of the Site is also subject to our Privacy Policy, available at Privacy Policy, which describes how we collect, use, store, and disclose personal information, including account information, payment-related information, and transaction data.

17.     Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, PRODUCTS, AUCTIONS, AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT PRODUCT DESCRIPTIONS, AUCTION, DETAILS, PRICING, AVAILABILITY INFORMATION, OR OTHER CONTENT IS COMPLETE, ACCURATE, RELIABLE, OR CURRENT.

18.     Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE, ANY PRODUCT, ANY AUCTION ITEM, ANY BID PROCESS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE, ANY ORDER, ANY ACCEPTED BID, ANY PRODUCT, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO US FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

19.     Indemnification

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
 (a) your breach of these Terms;
 (b) your misuse of the Site;
 (c) your violation of applicable law;
 (d) your infringement of any third-party rights; or
 (e) any false, inaccurate, or misleading information submitted by you.

20.     Suspension and Termination

We may suspend or terminate your access to the Site, your account, your ability to place orders, or your ability to submit bids at any time, with or without notice, for any lawful reason, including if we believe you have violated these Terms or pose a risk to other users or us.

Termination shall not affect rights and obligations that accrued prior to termination.

21.     Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of New York.

22.     Arbitration

These Terms and your use of this Site shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site or purchases from the Site (collectively, “Claims”) shall be resolved by binding arbitration, except that each party retains the right to bring an individual action in small claims court.

You agree that arbitration must be conducted on an individual basis only and you waive any right to participate in a class action. You further waive the right to a trial by jury.

This arbitration shall be governed by the Federal Arbitration Act (“FAA”) and conducted by the American Arbitration Association (“AAA”) or JAMS in New York County, New York, before a single arbitrator. The arbitration shall follow the applicable rules of the chosen forum. The arbitrator shall have authority to grant any relief available under law, and the decision shall be final and binding.

23.     Miscellaneous

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and us regarding the Site and the transactions governed hereby; If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect; Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provisio; You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely as part of a corporate reorganization, sale, merger, or transfer of assets; You agree that we may communicate with you electronically, including by email, account notification, or posting notices on the Site, and that such communications satisfy any legal requirement that communications be in writing.
